The merger, which has been plagued by litigation and near-misses over valuation, was nearly complete last year before U.S. regulators halted it. In an agreement announced today, American will continue to acquire US Airways Group and pay a $3.3 billion breakup fee. Under the agreement, the smaller US Airways will not be allowed to merge with Continental Airlines, which American Airlines holds a 74% stake in. The companies said the deal will allow both airlines to better compete against the increasingly large major carriers and to preserve the U.S. carrier fleet, which is aging and not large enough to generate sufficient revenue for the carriers. "Both U.S. carriers face similar challenges -- having too few big planes to meet the needs of a growing number of travelers," said American Airlines' Chairman, Chief Executive and President Robert J. Scott in a statement. "By combining these carriers, we'll have a much more robust and competitive fleet, which will help both companies win more revenue." Both carriers said the merger would help them cut costs and improve fuel efficiency. "Combining these carriers into a single, world-class carrier will reduce costs, improve our customer experience and significantly improve our network, so that we can provide a better travel experience at competitive prices," said United CEO Jeff Smisek. The deal would have created the world's third-largest airline, behind the U.S. carriers and Royal Dutch/Shell Group's Air France-KLM. A combined airline would have had about 32,000 employees and more than 10,000 flights a day. American Airlines' merger is based on the deal United and Continental struck in 2004,
